Buying Property Under a Dominican SRL
Buying property under a Dominican SRL — a sociedad de responsabilidad limitada, the country’s ordinary limited-liability company — is a structure decision, not a prestige one. For a single apartment you will use yourself, title in your own name is often the cleaner file. For a rental operation with partners, or a holding you expect to pass on without a fire drill, the company can earn its annual cost. It does not earn it automatically.
This is general information, not legal, tax, or estate advice. Law 479-08 is the framework for commercial companies, including the SRL. How it meets your home-country tax return, your marital property regime, and a specific purchase is work for Dominican counsel and your own accountant, together.
Personal name is the default for a reason
Foreigners may hold Dominican real estate in their own names. The purchase deed names you, the certificate is issued to you, and a future sale is a transfer by the person the registry already knows. There is no company to keep alive between visits. Banks, notaries, and associations are used to that pattern.
The costs of that simplicity show up later, not at the reservation. If you die holding the property personally, your heirs generally face a Dominican succession before anyone can sell or clearly re-register the asset. If you are sued personally, the apartment sits with your other assets. If you have partners, a personal title means side letters, and side letters are where friendships go to argue.
| Your own name | Dominican SRL as owner | |
|---|---|---|
| Who appears on the certificate | You | The company |
| Liability | The owner is you. A claim can reach the property with the rest of what you own | Shareholders are liable up to their contributions — unless they guaranteed something personally, or worse facts apply |
| Bringing in a partner | A new deed, or a private contract that is easy to get wrong | A share issuance or transfer, if the bylaws allow it |
| Death of the owner | Succession, then a registry transfer | The company survives. The shares still pass through succession or a planned assignment. This is not “no probate” |
| Annual upkeep | Property tax, dues, utilities, insurance | All of that, plus corporate filings, books, a registered domicile, and an accountant |
| Transfer tax on a later sale | A property transfer, on the rules in force then | A property sale by the company is still a property sale. A share sale is a different transaction your lawyer must price — it is not a silent bypass |

What the liability shield does not cover
An SRL is designed so that shareholders are not automatically liable for company debts beyond what they contributed. That sentence has edges. A personal guarantee on a loan punches through it, because you signed as yourself. Unpaid taxes and fraud claims are not cured by a corporate stamp. A thinly documented company that is you, with no books and no separation of accounts, invites a lawyer on the other side to argue that the company should be set aside.
Condo claims follow the unit’s owner of record. If the SRL owns the unit, the association will look to the SRL — and will expect dues to be paid by someone they can invoice. The shield is not a reason to ignore house rules. It is a reason to keep the company’s contracts, the rental activity, and the bank account in the company’s name rather than in a personal account you also use for groceries.
None of this replaces insurance. A liability policy on the unit, and a clear rule about who manages guests, will do more for a short-stay accident than the corporate form alone.
Estate transfer is a plan, not a slogan
Buyers are sometimes told that a company “avoids Dominican probate.” What is true is narrower. The company does not die when you do, so the property does not have to be deeded to each heir as a new real-estate transfer on day one. What still happens: the shares are an asset of your estate. Heirs, a will, marital rights, and the company’s own bylaws all have to agree before anyone can vote those shares or sell them. If two heirs disagree, you have a corporate dispute on top of a family one.
A share transfer while you are alive — to a spouse, a child, or a partner — can be documented and registered under the bylaws. It has tax consequences at home and possibly in the Dominican Republic. It is not a kitchen-table assignment. Ask counsel to compare, in writing, three paths: title in your name with a will they have actually reviewed, title in an SRL with a shareholders’ agreement, and co-ownership in personal names. The cheapest path to sign is not always the cheapest path for the people who outlive you.
The annual upkeep, without a fake invoice
A dormant SRL is not free. Before you incorporate, ask two firms to quote a year of compliance for a company that owns one property and has no other business. The line items they should include:
- Registration and updates with the mercantile registry, and a registered domicile that receives official mail.
- Tax ID (RNC) and the DGII filings that apply to a company which owns an asset, even if it “does nothing” this quarter.
- Corporate books and minutes, including whatever the bylaws require when a shareholder changes or a property is mortgaged or sold.
- Accounting. A bank that is asked to open an account, and a buyer who later purchases the shares or the unit, will want a file that exists.
- Beneficial-owner information. Institutions ask. “It is only me” still has to be written down.
Put that quote next to the property’s own carrying cost. IPI, if the value is over the threshold, is owed by the owner of record — the company, if the company holds title. The threshold, the rate, and the transfer tax on an ordinary deed are explained in the IPI and transfer-cost guide. Do not add a company in the hope that it quietly deletes that bill.
Confotur does not arrive because you used an SRL. It is a project qualification, with its own file. If someone offers a company-plus-exemption package, read the Confotur guide and have the resolution checked before the corporate paperwork is the thing you celebrate.

When the company earns its keep
An SRL tends to justify the upkeep when at least one of these is true: more than one unrelated buyer is putting in capital; the unit is a rental operation with staff, a manager’s contract, and a bank account that should not be your personal one; or you have a reasoned estate plan that uses the shares on purpose, with documents your heirs can find. It tends to be wasted motion when you are a single buyer of one apartment, you will not keep the books, and the only motive was a dinner-table claim about tax or probate.
The purchase steps around either choice — lawyer, registry, and the order of payment — stay the ones in the guide for international buyers. A company changes who signs. It does not retire due diligence.
Get the annual quote and the succession comparison before you reserve in a company’s name. If the quote is a nuisance relative to the asset, buy in your name and spend the saved fees on a will your Dominican counsel and your home counsel have both seen. That is a structure too.
